Optivizi provides website design, development, and related digital services. We specialize in creating conversion-optimized websites, mobile applications, and digital experiences for businesses. All services are provided subject to these Terms and any additional agreements or statements of work executed between you and Optivizi.

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time, with or without notice. We do not guarantee that our services will be available at all times or that they will be error-free.

As a client, you agree to:

• Provide accurate, complete, and timely information, content, and materials necessary for project completion
• Review and approve deliverables within agreed timeframes
• Make timely payments as specified in your service agreement
• Ensure you have the legal right to use any content, trademarks, or materials you provide
• Comply with all applicable laws and regulations

Payment terms will be specified in your service agreement or statement of work. Generally:

• Projects may require a deposit or milestone payments as outlined in your agreement
• Final payment is typically due upon project completion and delivery
• Late payments may incur interest charges and may result in suspension of services
• All fees are non-refundable unless otherwise specified in writing

Upon full payment, you will receive ownership rights to the custom work created specifically for your project, as detailed in your service agreement. However:

• Optivizi retains the right to use your project in our portfolio and for marketing purposes
• Pre-existing tools, frameworks, libraries, and third-party assets remain subject to their respective licenses
• Optivizi retains ownership of our proprietary methodologies, processes, and general knowledge

The number of revisions included in your project will be specified in your service agreement. Additional revisions beyond the agreed scope may incur additional fees. Significant changes to project scope may require a new agreement and timeline adjustment.

Project timelines are estimates and depend on timely client feedback and content delivery. Delays caused by the client may extend the project timeline. Optivizi will communicate any anticipated delays and work with you to adjust schedules as needed.

Optivizi warrants that our services will be performed in a professional and workmanlike manner. However:

• We do not guarantee specific business results, conversion rates, or performance metrics
• We are not responsible for third-party services, hosting, or platforms
• Our services are provided "as is" without warranties of any kind, express or implied

To the maximum extent permitted by law, Optivizi's total liability for any claims arising from or related to our services shall not exceed the total amount paid by you for the specific project giving rise to the claim. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

Optivizi will maintain the confidentiality of your proprietary information and business data shared during the course of our engagement. We will not disclose such information to third parties without your consent, except as required by law.

Either party may terminate a project with written notice. Upon termination:

• You will pay for all work completed up to the termination date
• Optivizi will deliver all completed work and materials
• Confidentiality obligations will continue to apply

Our services may integrate with or rely on third-party platforms, tools, or services. We are not responsible for the availability, functionality, or terms of such third-party services. You are responsible for complying with all third-party terms and conditions.

Optivizi reserves the right to modify these Terms at any time. Material changes will be communicated to active clients. Continued use of our services after changes constitutes acceptance of the modified Terms.

These Terms shall be governed by and construed in accordance with applicable laws. Any disputes arising from these Terms or our services shall be resolved through good faith negotiation, and if necessary, through appropriate legal channels.
